# Marketplace Creator License Agreement

**Version of 4 September 2026.** This Agreement applies only after the express, individually recorded acceptance in section 1 of the Creator Marketplace agreement root that pins this exact version.

## 1. What this Agreement is and how it is concluded

1.1 This Agreement is the explicit licensing deal between the admitted natural person or legal entity identified during onboarding ("Creator") and Coflnet GmbH ("Coflnet", "we") under which the Creator's content is distributed through the Coflnet marketplace. An individual accepts personally. A legal entity accepts only through the verified adult authorized signatory recorded during onboarding. The accepted Creator Marketplace root also pins the exact [Core Terms](/terms-of-service), Commerce and Programme Terms, SkyCofl Service Terms and Expert Marketplace Terms. This Agreement controls the Creator relationship and the rights granted; the customer-facing Marketplace Terms control acquisition and the Recipient's managed licence; the Core Terms control otherwise.

1.2 **Marketplace participation exists only under this expressly concluded Agreement.** Neither registering an account, accepting another agreement root, uploading content elsewhere nor browsing the marketplace concludes it. It is concluded only when Coflnet has provided the Creator Marketplace root during onboarding and you have expressly accepted it in a recorded, unambiguous action; Coflnet records its root hash, language, account, channel and server time. Silence, continued use or dismissing a notice never counts as acceptance.

1.3 The legacy/static free-publisher admission list permits zero-price publication only and is not a paid-seller review. Paid publication requires a separate current manual reviewed-seller record. Either route applies only after the Creator—and any representative required under 2.2—has accepted the exact Creator Marketplace root required for the listing. Free publication may be admitted from any country where Coflnet can complete the light capacity and rights review, and free Configs may be acquired worldwide. **Paid** publication is currently limited to Creators resident or established and tax-resident in an **EU Member State or the United States, or tax-resident in the United Kingdom and resident or established in England or Wales**. Annex A states the paid country and seller-type treatment.

## 2. Who can participate

2.1 An individual Creator must be an authenticated account holder and at least 16 years old. An existing legacy free-list entry is sufficient for zero-price publication after the exact-root acceptance in 1.3; Coflnet performs the light account, country, age/capacity and rights review before adding a new free publisher. Paid publication additionally requires a distinct manual reviewed-seller record for the applicable country and capacity law, declared seller type, tax residence and accounting-document route before the first paid supply, but not full payee identity or payout onboarding unless law requires it then. A minor may offer free and paid Configs only through the representative process in 2.2 and the manual jurisdiction review. Representative acceptance does not by itself guarantee that participation is valid under every country's law.

2.2 Before a minor may accept or publish a Config, the legal representative separately named and reviewed for authority must receive this exact agreement root and accept it using their own Discord account. The representative confirms that they have sole authority or authorization from every other person whose approval is required and approves the minor's acceptance, licence grant and paid participation. The minor must separately accept through `sellconfig`; neither action substitutes for the other. A missing, outdated or withdrawn representative acceptance prevents publication. Where the law applicable to the minor additionally requires a business registration or a public-authority or court approval for the paid activity—such as the German family-court authorisation under § 112 BGB for independently operating a business—publication waits until that registration or approval is documented.

2.3 A creator fee earned by a minor belongs to the minor and is recorded as the minor's contractual ledger balance. Settlement requires the payee onboarding in sections 6 and 7. If law and the payout provider permit, the payout destination may be an account held by the verified representative solely on the minor's behalf; this does not transfer the fee to the representative.

2.4 A business Creator is the contracting licensor and payee. Coflnet verifies the entity, registration, tax status, beneficial ownership where required and the adult signatory's identity and authority. Business status is not a shortcut around a minor's capacity rules. An adult-controlled business may submit work involving a minor only where the business validly owns or can license all required rights and its adult authorized signatory gives the assurances in this Agreement.

2.5 The Creator acts as an independent licensor. This Agreement creates no employment, agency, partnership or company between the parties and no obligation to create or submit content. Recurring paid activity can require business, VAT or other tax registration under the law applicable to the Creator; completing any required registration is the Creator's responsibility. Coflnet decides on admission without discrimination but at its reasonable discretion; there is no entitlement to admission.

2.6 If Coflnet reasonably learns that a Creator's age, capacity or representative-authority declaration may be inaccurate, Coflnet may suspend new publication, acquisitions and settlement while reviewing it. Amounts attributed to affected acquisitions remain recorded pending resolution and are not forfeited solely because settlement is suspended. Where applicable law permits, the defect may be cured by the required legal representative's separate approval or by the Creator's ratification after reaching full contractual capacity. If cure is refused or unavailable, Coflnet may delist the affected content, refund affected Purchasers and make the corresponding transparent fee corrections. Mandatory rights and claims arising from proven deception remain unaffected.

## 3. Content covered

3.1 "**Marketplace Content**" is content of a category that the marketplace expressly opens for submission. At this version's effective date the category is **Expert Configs**: machine-readable settings, filters, presets, automation behaviour and other software rules interpreted inside a supported Coflnet or SkyCofl Service, plus another item expressly identified at checkout under the Expert Marketplace Terms. Coflnet may open further categories; each category's marketplace information describes the eligible content, technical requirements, review criteria and any category-specific terms, and a Creator submits in a new category only through a further express, recorded acceptance of that category information.

3.2 Marketplace Content must not contain: access credentials or other secrets; third-party personal data that is unnecessary or unlawful for its disclosed function; malware or deliberately harmful instructions; content that infringes third-party intellectual-property or other rights; or content whose distribution would violate the game operator's rules applicable to the content in question.

## 4. License you grant to Coflnet

4.1 For each accepted item of Marketplace Content, you grant Coflnet the **non-exclusive**, worldwide right, for the duration of its listing and each Recipient licence arising from an acquisition made while listed, including the initial five-year managed-update period, any expressly recorded free two-year update period and the six-month shutdown-download window, to: store, reproduce and technically adapt the content; maintain, correct or replace its rules where legally required for conformity or security; display the listing with the content's name, description, version, price and your public Minecraft or creator name; distribute and license identified versions to Recipients in Coflnet's own name and for Coflnet's own account under the Expert Marketplace Terms; provide the shutdown download; and operate the supported update path for versions you choose to publish. Coflnet does not attribute a creative change to you unless you supplied it.

4.2 The license is non-exclusive in substance, not only in name: you remain free to use, publish and distribute your content anywhere else, at any price, and Coflnet does not require most-favoured treatment. You keep all rights not expressly granted here.

4.3 Coflnet is the **seller to the Purchaser and licensor to the Recipient** for every acquisition through the Service; you are not a seller to either of them. Coflnet handles checkout, VAT on the customer transaction, withdrawal rights, statutory remedies and refunds of the customer sale under the Expert Marketplace and Commerce and Programme Terms.

## 5. Your assurances

For each submitted item you assure that: it is your own work or you hold all rights needed to grant the license in section 4; its use as described does not infringe third-party rights known to you; the listing information you provide is accurate; and you will not use the marketplace to disguise consideration between users, to self-deal or to generate fees through linked or controlled accounts. If a third party asserts rights against Coflnet concerning your content, Coflnet may suspend the listing under the graduated process in the Core Terms and will inform you; your statutory defences and Coflnet's statutory claims remain unaffected.

## 6. Remuneration

6.1 The creator licence fee for a completed paid acquisition from Coflnet is fixed at **EUR 0.70 for each 300 CoflCoins of the listed price**, proportionally for other listed amounts and rounded down to the cent, plus VAT where the Creator is legally required to charge it to Coflnet, unless an individual programme agreement concluded before publication of the affected content states a different calculation. Customer transaction tax, the Purchaser's CoflCoin acquisition price, payment-processing costs and a price reduction or promotion funded by Coflnet do not reduce this fee. The listed price and fixed fee are shown before paid publication. A Creator Gift creates no fee from Coflnet.

6.2 A fee is recorded as pending when the acquisition is completed. It becomes available once Coflnet has received the consideration, any applicable withdrawal period has ended without withdrawal, and the content has been supplied. A refund or purchase reversion before availability cancels the corresponding pending amount; one after availability is recorded as a transparent correction and never silently rewrites the original entry. A correction is limited to the Creator fee attributable to the amount actually refunded, reversed, charged back or reduced as a post-supply remedy. An open chargeback does not itself reduce the fee. If the final payment-provider or payment-network outcome confirms the chargeback against Coflnet, Coflnet treats the affected acquisition as a purchase reversion: the Recipient loses the Config licence and managed-update entitlement and the corresponding Creator fee is cancelled or corrected. If an affected fee was already settled, Coflnet may set the correction off against future Creator fees after notice; direct repayment is required only where Coflnet has a contractual or statutory claim. An available fee remains a contractual ledger balance until settlement, correction or another lawful discharge; the ledger is not a bank, payment or custody account.

6.3 **Payout:** a cash payout can be requested for a **gross amount of at least EUR 70** and carries no Coflnet payout fee; Coflnet bears its own verification and processing overhead and adds no surcharge. The requested gross amount and resulting payout are shown before confirmation, and you may wait and aggregate instead. The balance is never forfeited; if this Agreement ends so that no further fees can accrue, you may request settlement of the remaining available amount below that threshold. Customer-payment-processing costs and transaction tax on customer sales are not shifted to you. Full identity, tax/payee-evidence, sanctions, invoicing and payout-destination checks are completed only before the first payout, or earlier if law requires, and the amounts being paid are reviewed when requested. Annex A states the country-specific rules.

## 7. Taxes and statements

7.1 The accounting document depends on the seller type and tax residence declared for paid publication and confirmed during payee onboarding. An **individual not acting as a business** receives a remuneration statement; it is not presented as the Creator's VAT invoice. An **EU business** issues its own invoice under the law of its country. A **UK VAT-registered business** enters the self-billing agreement in A.4; a UK business that is not VAT registered receives a non-VAT settlement statement. A **US Creator** receives a settlement statement rather than an EU or UK VAT invoice. Coflnet selects the applicable route before the first paid supply; full evidence and payout details are due before settlement unless law requires them earlier.

7.2 An EU business supplies an invoice with the particulars required in its country before payout. Coflnet may provide the amount and transaction data needed to prepare it, but that data is not the Creator's invoice. The parties promptly correct disputed details and notify each other of material tax-registration changes. A UK self-billed Creator must not issue a duplicate invoice for a covered supply.

7.3 Fees are remuneration for the licensing of rights. Coflnet applies the withholding, VAT and reporting rules described in Annex A and settles only after the proportionate payee onboarding required for that settlement is complete. The Creator remains responsible for registrations, returns and taxes imposed on it. Coflnet makes any information return or authority report that applicable law requires and does not promise that none will be required.

## 8. Moderation, delisting and takedown

Coflnet may review, reject, delist or suspend Marketplace Content under the graduated, proportionate process in the Core Terms—including for rights complaints, security issues, quality or policy violations—and informs you with reasons and a contestation route. You may publish updates, which Coflnet distributes through the supported path, but you have no duty to improve or update a Config. Coflnet remains responsible as provider for conformity or security updates only to the extent applicable law requires. Delisting stops new acquisitions but not Recipient licences to versions already supplied, an initial update period or free two-year extension already recorded, or the shutdown download in the Expert Marketplace Terms. Coflnet may record an extension only as those Terms state; continued operation does not guarantee one.
Coflnet may also let you grant your own Config as a complimentary Creator Gift under those Terms, including through the supported `giftconfig` command. You may end only that marked gift prospectively through the supported `takeconfig` command, including for breach or copying; you cannot revoke an ordinary free acquisition or paid licence. A gift may not have or fulfil any side consideration, and you must not use a gift, a free listing or any other supported access route to fulfil, deliver or settle a sale or other paid transaction concluded outside Coflnet; paid distribution through the Coflnet/SkyCofl Service happens only through Coflnet's own checkout. Your freedom under section 4.2 to use, publish and sell your content outside the Service is unaffected—Coflnet simply does not supply or update content to perform such an external transaction and is not its seller, licensor or guarantor.

## 9. Term and ending this Agreement

9.1 This Agreement runs indefinitely. You may end it at any time with effect for the future by delisting your content and declaring termination through your account or [support@coflnet.com](mailto:support@coflnet.com); Coflnet may end it with reasonable notice, or extraordinarily for cause under the Core Terms.

9.2 Ending the Agreement stops new submissions and new acquisitions. It does not affect: Recipient licences to versions supplied before the end; an initial five-year or expressly recorded free two-year managed-update period; the update path for versions you chose to publish; the six-month shutdown download; pending fees, which still become available and are settled under section 6; or records Coflnet must retain by law. Sections 4, 5, 7 and this section survive as needed for those purposes.

## 10. Changes, law and mandatory rights

Changing this Agreement or another pinned dependency requires a new agreement root and express acceptance; silence never counts. The governing-law and jurisdiction provisions of the Core Terms apply: German law governs, while mandatory protections of a consumer's habitual residence remain unaffected. Nothing in this Agreement limits rights that cannot be waived under the law applicable to you.

## Annex A: Country-specific payout and tax rules

*This Annex describes the rules Coflnet applies when settling creator fees. It summarizes the legal situation at this version's date, is not tax advice for you, and statutory rules prevail if they change.*

### A.1 Rules for every country

- **Identification before payout:** German tax law (§ 160 AO) requires Coflnet to know exactly who receives deductible remuneration. Cash payout is completed only after the payee onboarding in sections 2 and 7 is complete.
- **Sanctions screening:** before settlement, the payee is screened against the applicable EU (and, where relevant, other) sanctions and restricted-party lists; settlement is refused or paused while a match is unresolved or would be unlawful.
- **Currency:** fees are denominated and paid in **EUR**. Your bank may apply its own currency-conversion costs outside Coflnet's control.
- **Withholding on license fees:** creator fees are remuneration for rights. For Creators **not tax-resident in Germany**, § 50a EStG generally requires 15% withholding plus solidarity surcharge (15.825% in total). Coflnet applies a statutory simplification or treaty reduction only when its requirements or a valid BZSt certificate are documented for the payment; otherwise it withholds, remits and certifies the tax.
- **VAT:** if you act as a business, your license to Coflnet is generally taxed where Coflnet is established (Germany); a foreign business creator's fee is normally settled under the reverse-charge mechanism with your VAT/tax ID on the statement. A German small business (§ 19 UStG) or a private individual states no VAT.

### A.2 Germany

No § 50a withholding for German tax residents; you declare the income yourself (income or business tax). German businesses issue an invoice and charge VAT unless an exemption such as § 19 UStG applies. SEPA bank transfer is available where shown; payout costs follow 6.3.

### A.3 Other EU Member States

SEPA bank transfer is available where shown; payout costs follow 6.3. § 50a withholding applies unless a valid statutory or BZSt relief route is documented for the payment. A business Creator issues its country-compliant invoice; reverse charge normally applies where its requirements are met.

### A.4 England and Wales

Northern Ireland and Scotland are not supported for paid publication by this version. Available payout routes and costs follow 6.3. § 50a withholding applies unless valid statutory or BZSt relief is documented for the payment. Creators self-assess their income with HMRC. A business that is not VAT registered receives a settlement statement that is not a VAT invoice. For a VAT-registered business, this Agreement and the legal names, addresses and VAT numbers recorded in onboarding form the written self-billing agreement. It begins on acceptance, expires after 12 months or when this Creator Agreement ends, and must be expressly renewed. The business agrees that Coflnet will issue and it will accept self-billed invoices for every covered supply; it will not issue duplicate invoices and will promptly report a changed or cancelled VAT number or a business transfer. Coflnet identifies any outsourced invoice issuer. Each invoice contains the required particulars, “SELF-BILLING” and the applicable output-tax statement.

### A.5 United States

No SEPA; payout fees follow 6.3. § 50a withholding applies unless valid statutory or BZSt relief is documented for the payment; a certificate application can require IRS proof of residence. Coflnet records the reviewed US tax certification and issues a settlement statement; each party makes any US or German information filing legally required of it. US Creators report their income themselves.

### A.6 Countries not supported for paid publication

A Creator outside the paid regions in section 1.3—including Northern Ireland, Scotland, Canada, Brazil and Türkiye—may be admitted for free publication after the manual capacity and rights review, but cannot list a price and earns no fee from that free acquisition. Paid support for another country requires a reviewed tax, invoicing and payout route and a new expressly accepted agreement root.
