# Expert Marketplace Terms

## MARKETPLACE-1 — Scope and roles
These Expert Marketplace Terms apply only when this exact document is pinned by the service Root with stable ID `expertMarketplace` inside the accepted Agreement Root. They supplement the [Core Terms](/terms-of-service), Commerce and Programme Terms and SkyCofl Service Terms. They govern each free or paid acquisition of a non-exclusive personal licence to an Expert-published machine-readable definition of settings, filters, presets, automation behaviour or other software rules interpreted inside a supported Coflnet or SkyCofl Service (an "Expert Config"), together with an initial five-year managed update facility for later versions the Expert chooses to publish. Checkout may apply these terms to another identified item of Expert digital content, such as a rule pack or guide; that item is then an Expert Config for these terms.
The person identified as the "Expert" is the source and upstream licensor of the Expert Config to Coflnet. The Expert is not the seller to the Purchaser or Recipient: Coflnet distributes the item and grants the Recipient licence below. The Expert's submission, assurances, licence to Coflnet, remuneration, tax, onboarding and delisting duties are governed exclusively by the separately accepted [Marketplace Creator License Agreement](/creator-license); those creator-side duties are not imposed on a Purchaser or Recipient by these terms.
## MARKETPLACE-2 — Available offers and no side payment
An entry on the legacy/static free-publisher admission list permits zero-price publication only after the Expert has accepted the exact Creator Marketplace root required for that listing. It is not a reviewed-seller record or approval for paid publication. Paid publication requires a separate current manual reviewed-seller record and acceptance of that same exact root. Paid acquisition is enabled only where those requirements are met and checkout presents the exact price, Coflnet as seller, Expert, supported purchaser country and applicable immutable agreement version before the order. Paid orders are currently limited to Purchasers whose recorded tax country is an EU Member State, Great Britain (England, Wales or Scotland) or the United States; checkout refuses Northern Ireland and every other country.
For a free acquisition, a user may ask whether an Expert is willing to make a Config available, but the Expert has no duty to do so. Neither user nor Expert may condition a purportedly free supply on CoflCoins, money, data, services or another side benefit. If the Expert makes it available, Coflnet supplies that version and operates the supported update route without creating a payment transaction or creator-fee claim.
## MARKETPLACE-3 — Paid orders if activated
If paid acquisition is activated, **Coflnet is the seller to the Purchaser and the licensor to the Recipient**. The Purchaser purchases from Coflnet a licence to the identified Expert Config and its managed update facility and may use Coflnet-issued prepaid Service value where checkout permits. No CoflCoins or other balance are transferred to the Expert or Recipient; any creator remuneration is a separate euro-denominated obligation owed by Coflnet under the Creator License.
Before a paid order, checkout identifies Coflnet as seller and shows the Expert Config, Expert, version, material contents, optional-Expert-update rule, initial five-year update period and discretionary free-extension rule, managed-use and export restrictions, Purchaser, Recipient, total CoflCoin or euro price, recorded tax-inclusive euro value and tax country, supply time, withdrawal information and refund destination. The durable-medium confirmation records the same material information, the EU, UK or US consumer-rights regime selected from that country, and the accepted agreement version.
## MARKETPLACE-4 — Purchaser, Recipient and gifts
For an acquisition to the Purchaser's own account, Purchaser and Recipient are the same person. An acquisition for another account is available only if checkout marks the Expert Config as gift-eligible under COMMERCE-7 (Service gifts). The different Recipient receives the licence and managed-update access only after any required separate acceptance; the Purchaser does not acquire that Recipient-only licence merely by paying.
If the Recipient rejects or does not timely accept, the order is cancelled and the price is restored or refunded to the Purchaser as stated at checkout. The Recipient has no claim to the Purchaser's payment refund. Neither role may use a free or paid acquisition to transfer value, cash out CoflCoins, generate creator remuneration through self-dealing or disguise consideration between users.
Separately, an admitted Expert with current Creator-root acceptance may grant a complimentary **Creator Gift** of that Expert's own Config, including through the supported `giftconfig` command, to a Recipient who already has current Marketplace-root acceptance. It creates no payment or Creator fee, may not have or fulfil any side consideration, starts with the same five-year update period and discretionary free-extension rule as another acquisition, and lasts until the Expert prospectively revokes it through the supported `takeconfig` command, including for breach or copying. That revocation route applies only to a Creator Gift; the Expert cannot revoke an ordinary free acquisition or paid licence. Coflnet may cancel a gift granted contrary to this rule, informing the Recipient with reasons and a contestation route; a Recipient who paid the Expert for it must seek any refund from the Expert, not from Coflnet.
Coflnet does not supply, gate or update a Config to fulfil a sale or other paid transaction concluded outside Coflnet. Such an external transaction binds only its own parties; Coflnet is not its seller, licensor, payment processor or guarantor and gives no voluntary guarantee or warranty for the Expert's content, including its accuracy, quality, fitness for a purpose or future improvement—without excluding responsibility that mandatory law imposes on Coflnet for its own technical service. Paid acquisition through the Coflnet/SkyCofl Service happens only through Coflnet's own checkout under MARKETPLACE-3.
## MARKETPLACE-5 — Supply, withdrawal and remedies
Coflnet supplies the identified Expert Config version as digital content by making it available to the Recipient's account. The accompanying managed update facility supplies only later digital-content versions the Expert chooses to publish; it does not promise that the Expert will publish, improve or correct a version. The facility is included in the same Config acquisition, is not separately priced or ordered as a subscription and is only the supported route for those later individual supplies.
For a paid acquisition, checkout applies the country-specific immediate-digital-content-supply declaration pinned for the recorded tax country: EU for an EU Member State, UK for Great Britain and US for the United States. In the EU and UK, supply during the applicable 14-day withdrawal or cancellation period begins only after the Purchaser expressly consents to immediate supply, acknowledges that the right is lost when supply begins and receives the required confirmation on a durable medium. In the United States, Coflnet's disclosed contractual 14-day cancellation right continues after immediate supply; exercising it restores or refunds the Config price and ends the Recipient's Config licence and managed-update entitlement. Mandatory US state rights are not waived. Recipient acceptance does not replace the Purchaser's declaration.
Coflnet handles withdrawal and statutory remedies as seller. Mandatory rights concerning timely supply, conformity, updates, third-party rights, repair or replacement, price reduction, termination, damages and refunds remain unaffected. A remedy affecting an acquisition also adjusts the corresponding licence and managed-update entitlement and, where applicable, returns value to the Purchaser rather than the Recipient.
If the final payment-provider or payment-network outcome confirms a chargeback against value used for an Expert Config acquisition, Coflnet handles the affected acquisition as a purchase reversion rather than a second refund: the Recipient loses the Config licence and managed-update entitlement and the corresponding Creator fee is cancelled or corrected. An open, withdrawn or finally rejected chargeback does not trigger that final reversion. Mandatory consumer rights and any correction required after an erroneous provider outcome remain unaffected.
## MARKETPLACE-6 — Recipient licence
Each free, paid or gifted acquisition supplies the identified Expert Config version and grants the Recipient a non-exclusive, non-transferable licence to access, run and modify that version and later versions actually supplied, solely for the Recipient's own use. Coflnet grants that licence. This is a licence only; copyright and ownership of the Expert Config are not sold. It begins on the disclosed supply time—or, for a gift requiring acceptance, on acceptance. The five-year period applies only to the managed update facility, not to the licence for a version already supplied. While Coflnet operates the managed Coflnet/SkyCofl Service, protected Expert content may be used only inside that Service and is excluded from its general backup function; continued use of the shutdown copy follows MARKETPLACE-9.
Except for a Creator Gift validly revoked or cancelled under MARKETPLACE-4, a purchase reversion, a refund or termination carrying that consequence, or a lawful restriction under MARKETPLACE-8, the licence to a supplied version does not end merely because its update period, listing or the managed update facility ends.
Except for the shutdown download in MARKETPLACE-9 or where mandatory law permits otherwise, the Recipient may not download, extract or export the Expert Config or a combined configuration containing it; bypass an export or access restriction; or sell, sublicense, publish, share or redistribute the Expert Config or a copy or derivative that reproduces its protected elements. Account access and the licence may not be transferred. Statutory exceptions and non-waivable interoperability, data-access and consumer rights remain unaffected.
## MARKETPLACE-7 — Recipient changes and supported export
The Recipient retains any rights in independently created additions and variations. A supported export may create a separate difference configuration by comparing the Recipient's combined configuration with the then-current Expert Config and applying only differences to an empty settings object. It is intended to include supported personal parameters and separately added entries, while excluding unchanged Expert content. It may omit deletions of Expert entries and can therefore be incomplete or non-functional without the managed Expert Config.
Where mandatory law requires broader access to content supplied or created by the Recipient, Coflnet provides that content without Expert content to the extent the two can be separated.
## MARKETPLACE-8 — Updates, delisting and unsafe versions
If and when the Expert publishes a rule update or correction, the supported update service applies it to Expert-managed settings and entries. The Expert has no duty to improve or update a Config. An applied update takes priority over conflicting Recipient changes to the same settings or entries, while supported personal parameters and separately added entries not affected by it remain. As provider, Coflnet supplies a conformity or security update and may correct or replace an affected rule only to the extent applicable law requires.
Delisting or closure of the Expert account ends future acquisitions but not the Recipient licence to versions already supplied. Coflnet may restrict or replace an affected version where reasonably necessary because it is unlawful, infringes third-party rights, impairs security or materially harms the Service. Mandatory notice, conformity and remedy rights remain unaffected.
## MARKETPLACE-9 — Optional update extension and shutdown
Coflnet may, at its discretion, record a further two-year managed-update period at no charge where it still operates the facility and can lawfully continue supplying updates for that Config. An extension exists only when Coflnet expressly records it; continued operation, silence or earlier extensions do not promise another one. No repurchase or renewal fee is due for an extension Coflnet records. If no extension is recorded, the managed update facility ends for that acquisition but the Recipient licence to versions already supplied continues.
If Coflnet permanently shuts down the managed Expert Config update facility, optional Expert updates end. For six months after the shutdown takes effect, Coflnet makes the latest version lawfully supplied or available to each affected Recipient downloadable. The Recipient's personal licence to that shutdown copy continues under the non-transfer and non-redistribution limits above, but no support or later Expert update is promised. This shutdown route does not authorize Coflnet to cut short a promised update period without any remedy required by contract or law. Mandatory shutdown notice, conformity or security fixes, export and remedy rights remain unaffected.
## MARKETPLACE-10 — Changes and mandatory rights
Changes to these terms follow the express-agreement and versioning rules in the Core Terms. Publication, silence or continued use does not amend an existing contract. These terms never reduce mandatory copyright exceptions, consumer remedies, withdrawal rights or data-protection rights.
